1. Agreement to Terms
By accessing or using APFlow ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
APFlow is operated by APFlow, Inc. These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and APFlow.
2. Service Description
APFlow provides an accounts payable automation platform that helps finance teams manage invoices, approval workflows, and payment optimization. The Service currently includes:
- Manual invoice upload and storage
- Duplicate detection and alerts
- Custom approval workflow routing
- Payment timing recommendations and advice
- Team collaboration features
- Audit trails and compliance tracking
2.1 Current Limitations
APFlow is currently in active development. The following features are not currently available:
- Email invoice capture or OCR processing (manual upload only)
- Accounting system integrations (QuickBooks, Xero, NetSuite, etc.)
- Payment processing or fund transfers
- Automated invoice data extraction
2.2 Advice-Only Platform
Important: APFlow is an advice and management platform only. We do not process payments, transfer funds, or execute any financial transactions on your behalf. All payment decisions and execution remain your sole responsibility. You must verify all invoice data and payment recommendations before making any financial decisions.
3. Invite-Only Access
APFlow is currently available by invitation only. We reserve the right to approve or deny access to the Service at our sole discretion. You may not create an account without an invitation from APFlow.
Once your organization's account is created, authorized administrators may invite additional team members from your organization to access the Service.
4. User Accounts and Authentication
APFlow uses Stytch for secure authentication. By using the Service, you agree to:
- Provide accurate and complete account information
- Maintain the security of your email account used for magic link authentication
- Promptly notify us of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
You may not share your account credentials, impersonate another user, or access another user's account without permission.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Use the Service for any fraudulent or illegal purpose
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or alter any proprietary notices or labels
- Use automated tools to access the Service without permission
6. Data Ownership and Usage
6.1 Your Data
You retain all ownership rights to your data, including invoice information, vendor details, and other content you upload to the Service ("Customer Data"). You grant APFlow a limited license to use Customer Data solely to provide the Service and improve our platform.
6.2 Our Intellectual Property
APFlow owns all rights, title, and interest in the Service, including software, algorithms, trademarks, and related intellectual property. These Terms do not grant you any ownership rights to the Service.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant APFlow a perpetual, worldwide, royalty-free license to use and incorporate such feedback without compensation or attribution.
7. Service Availability and Modifications
7.1 Beta Service Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. As an invite-only platform in active development, the Service may contain bugs, errors, and interruptions. We do not guarantee uninterrupted, timely, secure, or error-free operation.
7.2 Changes and Termination
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service at any time
- Change features, functionality, or pricing
- Terminate or suspend your access with or without notice
- Refuse service to anyone for any reason
We will make reasonable efforts to provide advance notice of material changes, but we are not obligated to do so during this invite-only phase.
8. Roadmap and Future Features
Important Disclaimer: Any references to future features, roadmap items, planned integrations, or upcoming functionality (including but not limited to email invoice capture, OCR processing, accounting system integrations, or payment processing) are provided for informational purposes only.
These references do not constitute a commitment, obligation, or promise to deliver any material, code, or functionality. All features, timelines, and capabilities are subject to change or removal at any time at our sole discretion. You should not rely on any forward-looking statements when making purchasing decisions.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of content
- Warranties that defects will be corrected
No advice or information obtained through the Service creates any warranty not expressly stated in these Terms.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL APFLOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption or system failure
- Duplicate payments or missed payment discounts
- Cost of substitute products or services
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Our total liability for all claims related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.
11. Indemnification
You agree to indemnify, defend, and hold harmless APFlow and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your Customer Data.
12. Termination
Either party may terminate your access to the Service at any time, for any reason, with or without notice. Upon termination:
- Your right to access and use the Service immediately ceases
- We may delete your Customer Data after a reasonable retention period
- You may request an export of your data within 30 days of termination
- Sections of these Terms that by their nature should survive termination will remain in effect
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for intellectual property matters.
14. Changes to Terms
We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email or dashboard notification. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and APFlow regarding the Service and supersede all prior agreements.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
15.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
15.5 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control.
